Welcome to EasyToolsWP. These Terms of Use (“Terms”) govern your access to and use of EasyToolsWP’s website, WordPress plugins, and related services (collectively, the “Services”). By downloading, installing, or using any EasyToolsWP plugin or Service, you (“you” or “User”) agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Services.
These Terms form a legal agreement between you and EasyToolsWP (referred to as “EasyToolsWP”, “we”, “us”, or “our”). We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on our website or through other communications. Your continued use of the Services after any update constitutes acceptance of the new Terms. Please read these Terms carefully and contact us if you have any questions or concerns.
For the purposes of these Terms, the following definitions apply:
EasyToolsWP – The WordPress plugin provider and company offering the Services under the EasyToolsWP brand.
User (or “you”) – Any individual or entity who downloads, installs, purchases, or uses our plugins or Services. If you are accepting these Terms on behalf of an organisation, “you” refers to that organisation.
Plugins – The software plugins for WordPress provided by EasyToolsWP. This includes both Premium Plugins and Add-On Plugins as defined below.
Premium Plugin – A WordPress plugin offered by EasyToolsWP that requires a paid licence for its core functionality to operate. Premium Plugins are made available under one-year fixed-term licences (no auto-renewal).
Add-On Plugin – A WordPress plugin offered by EasyToolsWP that can be installed and used for free with basic functionality, but which contains optional Premium Features that can be unlocked with a purchase.
Premium Features – Specific advanced features or functionalities within an Add-On Plugin that are accessible only after a one-time purchase. Once unlocked by purchasing, access to these features is generally permanent for the purchased version, unless otherwise stated at the time of purchase.
Licence – The limited right to use a Plugin or Premium Feature as granted to you under these Terms. For Premium Plugins, a Licence refers to the one-year usage period purchased. For Premium Features in Add-On Plugins, a Licence refers to the ongoing right to use the feature once purchased.
Licence Key – A unique code or mechanism provided to you upon purchase of a Licence, which activates the Premium Plugin or Premium Features for the applicable term.
Services – The collective offerings provided by EasyToolsWP, including the website, Plugins, support services, and any related online services.
Any other capitalised terms not defined above shall have the meaning given to them elsewhere in these Terms.
EasyToolsWP hereby grants you a limited, non-exclusive, non-transferable, revocable licence to install and use our Plugins and Services, subject to your compliance with these Terms and applicable law. This licence allows you to use the Plugins for your personal or internal business purposes only, in accordance with any documentation or usage guidelines we provide. All rights not expressly granted to you are reserved by EasyToolsWP and its licensors. You acknowledge that the Plugins are licensed, not sold, and that no ownership rights are transferred to you under these Terms.
You agree to use our Plugins and Services only as permitted in these Terms. Except as otherwise expressly allowed by these Terms or by law, you must not:
Unauthorised Distribution: Copy, share, distribute, or resell any Plugin or Licence Key to any third party. Licences are granted solely to you as the original purchaser and are non-transferable. Distributing or sharing a Premium Plugin beyond what is authorised (for example, sharing your Licence Key publicly or installing the plugin on unauthorized sites) is prohibited.
Modification and Derivative Works: Modify, adapt, translate, or create derivative works based on our Plugins, or merge any part of the Plugins into other software, except to the limited extent that modification is explicitly allowed by an open-source licence accompanying the Plugin or by law. (If a Plugin is provided under a specific open-source licence that permits certain modifications, that licence’s terms will govern your rights to modify.) In all other cases, you may not alter the Plugin’s core code or circumvent its technical protections.
Reverse Engineering: Decompile, decrypt, disassemble, or reverse engineer any part of our Plugins, or attempt to derive the source code or underlying ideas or algorithms of any compiled or obfuscated components, except to the extent that such actions are expressly permitted by law notwithstanding this limitation.
Licence Circumvention: Attempt to bypass or disable any licence verification, activation mechanism, or usage restrictions built into a Plugin. For example, you must not attempt to continue using a Premium Plugin’s core features after your Licence has expired, other than by renewing or purchasing a new Licence legitimately.
Unauthorised Use: Use any Plugin in a manner not authorised by EasyToolsWP, including using a Premium Plugin without a valid Licence or using Premium Features in an Add-On Plugin without purchasing the required one-time unlock.
Malicious Use: Use the Plugins to violate any applicable law or regulation, or to transmit any malware, viruses, malicious or harmful code. You also must not use the Plugins to engage in fraudulent activities, spread spam, or in any way that could harm EasyToolsWP or any third party.
Proprietary Notices: Remove, alter, or obscure any copyright, trademark, or other proprietary notices that appear within the Plugins or related materials.
Sublicensing: Sub-license, rent, lease, lend, or otherwise transfer the Plugins or your Licence to others. You may not directly charge others for using our Plugin, or include our Plugin as a part of a product or service that you sell, without our explicit written permission (except as separately agreed under a partner or reseller arrangement with us, if applicable).
Any attempt to do any of the above is a breach of these Terms and may result in termination of your Licence (see Section 15). These restrictions are in place to protect our rights and ensure fair use of our Products. If you are unsure whether a certain use is permitted, please contact us for clarification.
The duration and specifics of your licence depend on the type of product, as detailed in Section 4 below. In summary, Premium Plugin licences last for one year from purchase, and access to any Premium Features unlocked in Add-On Plugins is generally perpetual for the purchased version. Your right to use a Plugin or feature is conditional upon timely payment and compliance with these Terms. If you violate any term, we may revoke your licence and your rights to use the Plugin will cease, as described in Section 15 (Termination).
EasyToolsWP offers different types of products with distinct licensing models, as described here:
All EasyToolsWP Premium Plugins are sold on a fixed-term licence basis, for a period of one year from the date of purchase, unless a different term is explicitly offered at the time of purchase. When you purchase a Premium Plugin, you obtain a one-year licence to use that plugin’s core functionality and any included updates or support during that year. Key points for Premium Plugin licences:
Active Licence Period: The Premium Plugin’s core functionality and features will remain active and accessible only during the valid one-year licence period. The licence term begins on the date you complete your purchase and ends 12 months thereafter (the “Licence Period”). For example, a licence purchased on 1 January will expire on 31 December of that year (end-of-day in your time zone).
Functionality on Expiry: Once the Licence Period ends, the Premium Plugin’s core functionality will be automatically disabled. In other words, after licence expiry, the plugin will cease to operate its premium or core features. You will not be able to continue using the Premium Plugin’s primary functions unless you renew or purchase a new licence. (Basic ancillary functions or limited fallback features, if any, may continue at our discretion, but the plugin’s main functionality will stop.)
Renewal by Purchase Only: We do not auto-renew licences and we do not enroll customers in any subscription or automatic billing for plugin renewals. If you wish to keep using a Premium Plugin beyond the one-year term, you must manually purchase a new one-year licence for the plugin. It is your responsibility to renew the licence by making a new purchase; we will not charge you automatically, and no recurring payments are involved. We may send courtesy reminders before or after your licence expires, but these are not guaranteed. Ultimately, continued use requires a conscious repurchase by you.
Updates and Support: With an active one-year licence, you are entitled to download all updates released for that plugin during your licence term, and to access any support services we offer for that plugin. After the licence expires, you will no longer receive updates or support, and (as noted) the plugin’s main functionality will stop working. If you renew or repurchase the licence, your access to updates and support will resume along with functionality for the new term.
No Lifetime Licence (Unless Offered): EasyToolsWP does not offer “lifetime” licences or indefinite usage rights for Premium Plugins, unless explicitly stated for a particular product. All standard Premium Plugin sales are for one-year terms. We reserve the right to offer other term lengths or promotions (such as multi-year packages or lifetime deals) at our discretion, but unless you have purchased such an offering explicitly, your licence is for one year.
No Automatic Renewals: To reiterate, there are no automatic renewals or subscription billing for Premium Plugin licences. Each renewal must be a deliberate, separate purchase by you. This ensures you are never unexpectedly charged and have full control over whether you continue with the plugin.
By purchasing a Premium Plugin licence, you acknowledge and agree that the plugin is designed to deactivate key functionality upon expiry of the licence term, and that renewal requires a new purchase. Attempting to use the plugin beyond the authorised term without renewal violates these Terms (see Licence Restrictions above).
EasyToolsWP also provides certain Plugins that function as Add-On Plugins. These are essentially free plugins that can be installed and used without any payment for their basic features, but they include optional Premium Features that enhance or extend the plugin’s capabilities. Access to those Premium Features requires a one-time purchase. The model for Add-On Plugins is as follows:
Free Core Add-On: You may download and use an Add-On Plugin itself free of charge. The base functionality (core features) of the Add-On Plugin is available to all users without a licence. For example, an Add-On Plugin might perform a basic task for free, but have extra modules or advanced settings locked behind a paywall.
Premium Feature Unlock: Within an Add-On Plugin, certain advanced features or content (the Premium Features) are initially disabled or inaccessible. You can unlock each Premium Feature by making a one-time purchase (a single, upfront payment) as offered within the plugin or on our website. Once you purchase the Premium Feature, it will become available for your use.
Permanent Access: In general, when you purchase a Premium Feature in an Add-On Plugin, your access to that feature is permanent for the lifetime of that plugin (or as long as we continue to support that product). This means there is no expiration date for your use of that feature – it does not require annual renewal. You pay once and you can continue to use that feature indefinitely, unless otherwise stated at the time of purchase.
“Unless Otherwise Stated” Exceptions: If a specific Premium Feature is sold with special conditions (for example, a feature that relies on an external service that might be time-limited, or a pack of updates available only for a certain period), we will clearly communicate those terms before you purchase. Unless such specific terms are presented, you can assume one-time purchases grant ongoing access.
No Subscription for Features: One-time purchases for Premium Features are not subscriptions. We will not automatically charge you again for that feature. Any future payments would only occur if you choose to purchase additional separate features or perhaps an upgrade to a major new version, if applicable.
Updates and Compatibility: When you unlock a Premium Feature, you will receive updates to that feature as part of the Add-On Plugin’s regular update cycle. If we release new versions of the Add-On Plugin, your purchased features will typically remain unlocked in the updated version (as long as you use the same license or account). However, if we release an entirely new plugin or a major version rewrite that is sold separately, access to your previously purchased features in the old plugin may not automatically carry over (we would inform you of upgrade paths in such cases). Generally, we strive to ensure that one-time purchases remain valuable and accessible for as long as the Add-On Plugin is maintained.
Scope of Use: A one-time purchase for a Premium Feature is generally tied to your usage of that feature within the Add-On Plugin. Depending on our licensing system, the unlock might be linked to your website, your account, or an activation code. We will specify if there are any limitations (e.g. the feature can be used on a certain number of sites). Unless stated, you should assume it’s for your personal use and not for distribution. You must not share any activation codes or methods for unlocked features with others, as that would violate our Licence Restrictions.
In summary, Add-On Plugins let you choose which extra features you want to pay for, with the peace of mind that those purchases are one-time and permanent (barring special stated conditions). We believe this model offers flexibility and fairness: you can use the free parts of the plugin indefinitely, and pay only for the extras you value, without ongoing subscription fees for those features.
By purchasing any Premium Plugin licence or Premium Feature, you agree to pay the required fees as indicated at the time of purchase. All payments are due in the amounts and currency specified, and are subject to the following terms:
Pricing: Prices for Premium Plugin licences (one-year term) and one-time Premium Feature unlocks are displayed on our website or within the plugin interface. All prices are listed in the applicable currency and may be subject to applicable taxes (such as VAT) depending on your location. We strive to clearly show the total price including any taxes or charges before you complete your purchase.
Taxes: You are responsible for any taxes, duties, or government levies applicable to your purchase. If VAT (Value Added Tax) or similar sales tax is required by law, it may be included in the purchase price or added at checkout, depending on the jurisdiction. We comply with EU VAT regulations and other tax laws as appropriate. The final amount you pay (as shown at checkout) should include all applicable taxes; if you have any questions about taxes on your purchase, please contact support.
Payment Methods: We accept the payment methods indicated at checkout, such as credit/debit cards, PayPal, or other online payment processors. You must provide accurate billing information and a valid payment method. By providing payment details, you confirm that you are authorised to use that payment method and that the information is correct.
Payment Processing: Payments are processed securely through our third-party payment providers. We do not store your full payment card details on our own servers. The processing of your payment information is subject to the terms and policies of the payment provider.
One-Time Charges (No Recurring Billing): All purchases from EasyToolsWP are one-time transactions. We do not automatically charge you on a recurring basis for any product. For a Premium Plugin licence, you will pay a one-year fee once, and then no further charges will be made by us unless you actively decide to purchase again (e.g. to renew the licence for another year at a later date). For one-time feature purchases, you pay once for the feature. Because we do not store any payment subscription for you, you will never find an “automatic renewal” charge from EasyToolsWP.
Renewal Purchases: If you wish to renew a Premium Plugin for an additional year, you must return to our website or sales channel to manually purchase a new licence. The fee for renewal will be the then-current price for a new one-year licence of that plugin (we may, at our discretion, offer returning customers a discount or loyalty pricing for renewal, but unless advertised, assume the standard price applies). When you manually renew, that is a new one-time charge; still no auto-renewal going forward.
License Activation: After payment, you will receive the necessary credentials to activate your purchase. For Premium Plugins, this may be a Licence Key or an automated activation tied to your account/email. For Premium Features, the unlock might occur via an updated licence key, a download, or an account flag. Follow the instructions provided after purchase to activate your plugin or feature. You are responsible for keeping any Licence Key or activation credentials confidential (do not share them publicly or with unauthorised parties). If you encounter any activation issues, contact our support for assistance.
Failed Payments: If your payment method is declined or if a chargeback or reversal is initiated after you have gained access to a product, we reserve the right to disable your licence or access to the product until any payment issues are resolved. You agree to promptly update your payment information if needed and to resolve any charge disputes with us in good faith.
Changes in Fees: We reserve the right to change the pricing of our products or introduce new fees in the future. For example, the price for a one-year licence may be adjusted over time. Any change in price will not affect you until you choose to make a new purchase or renewal. We will not retroactively charge more for a purchase you have already completed, and since we don’t auto-renew, a price change will only apply when you actively decide to buy again. We may occasionally offer promotions or discounts, which will be subject to their own terms.
Free Products: Some of our Services or Plugins (or parts of them) may be offered for free. While using free offerings, you are still bound by these Terms. We reserve the right to introduce fees for new features or changes to the free/paid structure in future versions, but we will always inform you and such changes will never impose unexpected charges on you without your consent to purchase.
By completing a purchase, you agree to pay the listed price and you understand and accept the payment terms and structure (particularly that there are no automatic renewals or subscription payments). If you believe you were charged incorrectly or encounter any payment-related issue, please contact us promptly so we can assist in resolving it.
EasyToolsWP products are digital goods, and we encourage you to review features (and where applicable, demos or free versions) before purchase. However, we want you to be satisfied with your experience. Our general refund policy is as follows:
All Sales Final, With Limited Exceptions: In principle, all purchases of EasyToolsWP Premium Plugin licences and Premium Feature unlocks are final and non-refundable. Once you have been provided access to the digital product (e.g., you have received the plugin download, licence key, or feature unlock), we consider that the service has been fully delivered. Therefore, we do not routinely offer refunds simply for change of mind or if you decide you no longer need the plugin.
Explicitly Stated Guarantees: If we have explicitly stated a refund guarantee or trial period for a specific product (for example, a “30-day money-back guarantee” on a particular plugin, or a refund promise in certain promotional materials), we will honour that promise according to the terms stated. Any such guarantee will apply only to the product and time frame specified. In the absence of an explicit guarantee, the default policy of no refunds applies (aside from legal rights, discussed below).
Defects or Issues with the Product: We stand by the quality of our plugins. If you encounter a significant technical issue or defect in a plugin or feature that is due to our fault and prevents the product from functioning as advertised, please contact our support. We will make good faith efforts to fix the problem or provide a workaround. If the issue is confirmed by us and cannot be resolved in a reasonable time, we may offer a refund at our discretion. Refunds for defective products are considered on a case-by-case basis and typically require you to cooperate with us in troubleshooting.
Accidental Purchases or Duplicate Orders: If you accidentally purchased the same item twice, or purchased an incorrect item and immediately notified us, we will work with you to correct the situation. This may involve issuing a refund or credit for the duplicate/incorrect purchase, provided the licence/key has not been used. Please contact us as soon as possible in such cases, and do not activate or use the unwanted licence.
Unauthorized Charges: If you believe your payment method was charged without your authorisation, or you were charged an incorrect amount, contact us immediately. We will investigate and if an error on our side is found, we will promptly refund the erroneous charge. (Note: For security of your payment information, also check with your payment provider for any unauthorised activity.)
Process for Requesting Refunds: To request a refund, you must contact EasyToolsWP customer support (for example, by email or through our website’s contact form) and provide the details of your purchase (order number, date, product, and reason for requesting a refund). We may require additional information to verify your identity and purchase. Refund requests should be made within a reasonable time from the purchase date or discovery of the issue prompting the request.
Abuse of Refund Policy: We reserve the right to refuse a refund if we suspect that a user is abusing the refund policy. For instance, if someone has received significant value from the product (e.g., used it for many months) and then requests a refund without a valid cause, or if there is evidence of fraudulent intent, we will decline the request. Our refund policy is intended to ensure fairness and customer satisfaction, and not to be exploited.
Refund Method: If a refund is granted, it will be processed via the same payment method used for the purchase, unless otherwise agreed. Please note that it might take several business days for the refunded amount to appear in your account, depending on your bank or payment provider. We have no control over third-party processing times.
Important: Nothing in this Refund Policy affects your statutory rights or rights under any applicable consumer protection laws (see Section 7 below). For example, if you are an EU consumer, you may have a right to withdraw from a purchase within 14 days under certain conditions, which we address next. We aim to be transparent and fair with refunds in compliance with the law and good customer service practices.
If you are a consumer (meaning you are using EasyToolsWP products for personal use outside of business, trade, or profession) residing in the European Union, European Economic Area, or the United Kingdom, you are entitled to certain consumer protections and rights under law. We are providing this section to inform you of those rights and how they apply to digital content purchases from EasyToolsWP:
Under EU/EEA consumer protection law (and similarly in the UK), you generally have the right to withdraw from an online purchase contract for digital content within 14 days of the purchase date without giving any reason. This 14-day period is often referred to as the “cooling-off period”. If this right applies and you choose to exercise it, you would be entitled to a refund. However, there is an important exception for digital content:
Waiver of Withdrawal for Immediate Access: If you purchase digital content (such as a plugin or feature) and you download, install, or otherwise access it immediately, the law allows the seller to obtain your consent to begin the service (delivery of digital content) before the cooling-off period ends. By doing so, and by you acknowledging that you lose your right to withdraw once the download or access has started, the 14-day withdrawal right can be waived.
How We Handle This: Because our products are digital and delivered for immediate use, when you purchase from EasyToolsWP, you will be asked to agree that we may supply you the digital content right away and that you acknowledge this will waive your right of withdrawal. By completing a purchase and downloading or activating a plugin or feature, you are providing this consent and acknowledgement. In practice, this means that once you have received your licence key or downloaded the plugin after purchase, you no longer have the automatic 14-day cancellation right.
If You Have Not Downloaded or Activated: If you have second thoughts immediately after purchase and have not yet downloaded, installed, or activated the product, you can contact us within 14 days to request a cancellation of your order under your right of withdrawal. Provided you truly have not used the digital content, we will honour the withdrawal request and issue a refund. (For example, if you bought a plugin licence but have not yet entered the licence key or downloaded the plugin files, and you contact us within 14 days, we can process a cancellation.) Once you use the provided credentials to access the content, the withdrawal right is considered relinquished.
Procedure to Withdraw: To exercise the right of withdrawal within the allowed circumstances, you should clearly inform us (e.g., by email) of your decision to cancel the purchase. You may use the model withdrawal form provided by law, but it is not mandatory – a clear statement with your order details and request to cancel is sufficient. We will confirm receipt of your withdrawal request and, if valid under the law (i.e., you have not yet accessed the content and the request is within 14 days), we will refund you within 14 days of acknowledging the withdrawal.
Separately from the right of withdrawal, EU/EEA and UK consumer laws provide that digital content must be in conformity with the contract. This means our plugins should function as described, be of satisfactory quality, and fit for the purposes for which similar digital products are normally used. If a product you purchased from us fails to meet these standards (for example, it is defective or not as advertised), you have the right to have the issue remedied. Depending on the situation, this could involve us providing a fix, offering a replacement, or, if the problem cannot be resolved, giving a price reduction or refund. These rights apply irrespective of our general refund policy. We will always endeavour to meet our obligations under these laws. If you believe a product you purchased is not in conformity with what was promised, please notify us as soon as possible so we can address the problem in line with your statutory rights.
Nothing in these Terms (including the Licence restrictions, warranty disclaimers, or refund policy) is intended to limit or exclude the rights you have under mandatory consumer protection laws. Your statutory rights are inalienable. For instance, if under applicable law you are entitled to certain remedies or compensation for our failure to use reasonable care, those rights remain intact. In the event of any conflict between these Terms and your rights under law, the law will prevail.
Note for Non-EU Consumers: If you are a consumer from another jurisdiction, you may have similar protections under your local laws. We aim to respect all such rights. The above sections specifically address EU/EEA/UK law because of common regulations in those areas. If you have questions about your consumer rights in your country, you may consult your local consumer authority or contact us for clarification on how we accommodate those rights.
In summary, while we do not offer refunds in most cases after a digital product is accessed, we fully comply with European consumer laws regarding withdrawal rights and product quality. We strive to be transparent and fair, so if you have any issues, we encourage you to reach out and we will do our best to find a satisfactory solution.
We expect all Users to use EasyToolsWP’s Plugins and Services responsibly and lawfully. By using our Services, you agree to the following rules of acceptable use. You must not use our Plugins, Services, or website in any manner that:
Violates Laws or Regulations: You shall not use the Services for any illegal purpose or to promote or facilitate any unlawful activity. This includes, but is not limited to, using the plugins in connection with content or activities that are defamatory, libellous, fraudulent, infringing on intellectual property rights, invasive of privacy, or that violate any law or regulation (local, national, or international).
Infringes Intellectual Property or Other Rights: You shall not use the Services to transmit, display, or otherwise make available content that infringes any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or other right of any person or entity. If you use our plugins to generate or manage content (for example, using an AI content feature), you must ensure you have the necessary rights to any material you input or output. Do not misuse our plugins to steal or misappropriate others’ content.
Produces Harmful or Offensive Content: You shall not use our Services to create, store, or distribute content that is harmful, abusive, obscene, pornographic (where inappropriate or illegal), harassing, or that promotes hate or violence towards any individual or group. We have zero tolerance for using our tools in connection with content that is unlawful, extremist, or could be reasonably seen as abusive or hateful.
Impersonation and Misrepresentation: You shall not impersonate any person or organisation or misrepresent your affiliation with any person or entity while using our Services. For example, you must not use an EasyToolsWP plugin to deceptively pose as another company or to spread misinformation in a manner that falsely implies endorsement by or affiliation with EasyToolsWP or any other party.
Security Abuse: You shall not probe, scan, or test the vulnerability of our website, servers, or networks, nor breach or circumvent any security or authentication measures. Also, you must not use our Plugins in a way that could harm or disrupt someone else’s website or system (for example, using a plugin to overload a system with requests or to introduce malware). Any form of hacking, introducing viruses, worms, Trojan horses, or other malicious code via our plugins or in connection with our Services is strictly forbidden.
Interference with Services: You shall not interfere with or disrupt the integrity or performance of our Services or the data contained therein. This includes not engaging in activities that could disable, overload, or impair the normal functioning of our website or plugins (such as initiating denial-of-service attacks or exploiting any software vulnerabilities).
Circumventing Usage Limits: If a Service or feature has usage limits (for instance, an AI feature with a certain number of requests, or a licence that is limited to a number of sites), you must not exceed or circumvent these limits by any means. Do not create multiple accounts or employ other tricks to bypass usage restrictions intentionally imposed by us.
Automated Use: Unless a plugin is explicitly meant for automation, you should not run excessive automated processes or scripts against our Services in a manner that interferes with normal use. For example, using bots to rapidly create requests to our servers that are not within the normal operation of a plugin is disallowed.
Unauthorised Access: You must not attempt to gain unauthorised access to any portion of our Services, accounts, computer systems, or networks connected to our Service through hacking, password mining, or any other means. Accessing or attempting to access another user’s account, data, or personal information without permission is prohibited.
Misuse of Support and Communication Channels: If we provide community forums, support ticket systems, or other communication channels, you agree to use them respectfully. Do not spam, harass our staff or other users, or post irrelevant or inappropriate content in those contexts.
Compliance with Third-Party Services: If our plugin interacts with third-party services (for example, pulls data from an API or integrates with a platform), you must abide by the terms of use of those third-party services as well when using our plugin. You should not use our plugin to violate another service’s rules.
User Responsibility: You are responsible for your own conduct and for any content or data that you create, upload, or manage using our Plugins. If you operate a website or service that uses our Plugins, you are responsible for ensuring that the content on that site or service and the actions taken through it comply with this Acceptable Use Policy and with all applicable laws. We encourage you to put measures in place (such as moderation or user agreements on your own site) to prevent misuse of our Plugins via your implementation.
Enforcement: If we become aware of a violation of this Acceptable Use Policy, we may take action to address it. This could include investigating the issue, removing or disabling access to content, suspending or terminating your licence or account, and, if necessary, reporting you to law enforcement authorities. We reserve the right to take any appropriate corrective action for behaviour that we believe, in our discretion, violates this section or any other provision of these Terms.
We trust you to use our Services responsibly. These guidelines are in place to protect both you and us, as well as other users and the wider internet community. By adhering to them, you help maintain a safe and fair environment for everyone.
All intellectual property rights in and to the Services, including our Plugins, website content, branding, logos, design, software code, documentation, and any other materials provided by EasyToolsWP, are and shall remain the property of EasyToolsWP or its licensors. This includes all copyrights, trademarks, trade names, logos, database rights, and patents associated with our products. Except for the limited licence rights expressly granted to you in these Terms, no rights, title, or interest in our intellectual property are transferred or granted to you. You acknowledge that:
The Plugins and their source code (except for any open-source components) are protected by copyright and other laws. You do not acquire any ownership rights by purchasing or using our software. Rather, you have a licence to use the software under the conditions stated.
“EasyToolsWP” and any EasyToolsWP product names or logos are trademarks or service marks of our company. You are not permitted to use our marks without our prior written consent, except as necessary to refer to our products in a truthful and non-misleading manner. For instance, saying “This site uses the EasyToolsWP [PluginName] plugin” is allowed, but creating a competing plugin called “EasyToolsWP SuperTool” or using our logo in your own product’s branding would violate our rights.
Subject to your compliance with these Terms, we grant you the licence to use our intellectual property strictly as needed to utilize our Services. For example, we grant you the right to install our Plugin code on your WordPress site (as per the licence terms) and to use any accompanying documentation for your personal/business use. However, this licence is limited by the Terms and does not include, for example, the right to copy our code for creating a competing product or to publish our source code online. You must not remove or obscure any copyright notices within the code. If the Plugin includes an “About” page or credits section that attributes EasyToolsWP, you should not remove those attributions if technically possible (unless the plugin explicitly allows white-labelling and you have obtained the rights to do so).
In the course of using our Plugins, you may input or generate content (for example: configuring settings, entering text for an AI tool to process, or data processed by the plugin on your behalf). You retain all rights to your own content and data. We do not claim ownership of the content or data that you create or provide while using our Services. For instance, if you use one of our plugins to generate a report or create an image, that output content is yours to use as you see fit (subject to any third-party rights or legal limitations on that content, and subject to Section 11 regarding AI outputs). Similarly, any data you import into a plugin remains your data.
By using our Services, you grant us a limited right to process your content and data as needed to provide the service to you. For example, if our plugin needs to temporarily store or transmit your input to produce a result (such as sending a prompt to an AI service or saving your settings on our server), you grant us permission to do so. This licence to us is solely for operating and improving the Services and is not a claim of ownership. We will handle any personal data in accordance with our Privacy Policy (see Section 10).
If you provide feedback or suggestions to us about our products (e.g., ideas for new features or improvements), you acknowledge that we may use and implement such suggestions without any obligation to you. You hereby grant us a worldwide, irrevocable, sublicensable licence to use, modify, and incorporate feedback you provide, for any purpose, without compensation to you. This helps us continually improve our products.
Our Plugins may include or rely on third-party libraries, open-source components, or APIs. Some of those third-party materials may be subject to separate licensing terms (for example, an open-source library used in the plugin might be under an MIT or GPL licence). Where such third-party licence terms apply, we will include the necessary notices (typically in the plugin’s documentation or within the code). Your use of those components is subject to the respective third-party licences, which will not impose any additional restrictions on your personal use of the plugin beyond these Terms, but may grant you additional rights directly from the third-party. For example, if a plugin incorporates code under the GPL (GNU General Public License), your rights and obligations under the GPL for that code are in effect. Nothing in these Terms is intended to restrict your rights under open-source licences for separate components. However, these Terms govern your overall use of the Plugin as a whole product, especially regarding our proprietary portions and service aspects.
We respect the intellectual property rights of others and expect our users to do the same. If you believe that a EasyToolsWP product or any content within our Services infringes your copyright or other IP rights, please notify us with detailed information so we can investigate and address the issue (for instance, via a DMCA notice if applicable). Conversely, if we find that you have misused our IP (e.g., copied our plugin and redistributed it in violation of these Terms), we reserve the right to pursue legal remedies to protect our rights.
Your compliance with the Licence restrictions and acceptable use in Sections 3 and 8 is crucial in ensuring our intellectual property is not misappropriated. Unauthorised use of our intellectual property, aside from being a breach of contract, may also constitute infringement and could result in legal liability.
In short, we ask that you respect our creative and commercial work just as we respect yours. All usage rights you have are explicitly laid out in these Terms; any usage of our software or brand beyond that requires explicit permission from us.
Your privacy is important to us. EasyToolsWP, as a Denmark-based provider, adheres to applicable data protection laws, including the EU General Data Protection Regulation (GDPR). This section provides an overview of how we handle personal data in the context of our Services:
We have a separate Privacy Policy that details the types of personal information we collect, how we use and protect that information, and your rights concerning your data. By using our Services or purchasing our products, you acknowledge that you have read and understood our Privacy Policy. We strongly encourage you to read it in full on our website. In summary, our Privacy Policy covers areas such as: what data we collect when you create an account or make a purchase (e.g., name, email, billing information), how we might collect usage analytics from our website or plugins, how data is stored and secured, and how you can contact us to exercise your rights (access, correction, deletion, etc.).
Our Plugins are primarily installed and run on your own WordPress site or system. In general, any content or data you input into the plugin (e.g., form entries, settings, content for AI processing) stays on your system unless the plugin explicitly communicates with our servers or third-party services (for example, license validation or AI API calls). We design our plugins to minimise sending personal data to us unless it’s necessary for the function. However, some data flows are inherent to how licensing and online services work:
Licence Activation Data: When you activate a Premium Plugin with your Licence Key, the plugin may contact our licensing server to verify the key and its validity. In doing so, it may transmit certain information such as the licence key itself, the plugin ID, possibly your site’s domain, and a device or installation identifier. This is used to authenticate your licence and provide updates. We store licence-related data securely and use it only for managing your product access (and internal analytics). We treat licence keys as personal data in the sense that they are tied to you as a customer.
Account Information: If purchases are made through an account system on our website, we will link your purchases to your account. Personal info like your name, email, and billing address (for invoices) will be stored. This info is used for transaction records, support, and legal compliance (e.g., bookkeeping, VAT records). We do not share this personal information with third parties except as necessary for providing the service (payment processors, email service for sending receipts, etc.) or as required by law.
Plugin Usage Data: Some plugins might have an option to enable usage tracking (for example, sending us anonymised data about which features are used, or diagnostic information in case of errors). This would typically be opt-in (we will ask for your consent) and is solely to help improve the product. Any such telemetry, if enabled, would not include personal content from your site, only technical information. You can always decline or disable such telemetry.
Support Data: If you contact us for support, you might provide additional information, such as error logs or screenshots. This may inadvertently include personal data. We will use any such information only to assist you with your support request. We advise you to redact any unnecessary personal details before sending logs or data to us. Our support system and email are handled internally or via reputable providers under confidentiality.
Under GDPR (if it applies to our interactions with you), EasyToolsWP might be considered a “data controller” for the personal data you provide to us (like account details), and possibly a “data processor” for data that our plugin processes on your behalf. We fulfil our obligations under GDPR by:
Lawful Bases: We only collect and use personal data where we have a lawful basis. The typical bases include contract (to provide you the product or support you requested), legal obligation (keeping records for tax), and legitimate interests (improving our products, preventing fraud). If we ever rely on consent (such as for optional marketing emails or usage analytics), we will explicitly ask and you can withdraw consent at any time.
User Rights: GDPR grants individuals rights such as access to data, rectification, erasure (right to be forgotten), restriction of processing, data portability, and objection to processing. We respect these rights. If you wish to exercise any of these, you can contact us (see Contact section). For example, you can ask for a copy of the data we hold about you, or request that we delete your account data. Note that some data we may need to retain for legal reasons (e.g., invoice records cannot be deleted immediately due to financial regulations, but we’ll inform you if so).
Data Security: We implement appropriate technical and organisational measures to secure personal data. This includes encryption of data in transit (our website is HTTPS, and any communication from plugins can also use secure protocols), restricted access to databases, and diligent selection of sub-processors (like hosting providers) that meet security standards. We also limit access to personal data internally to only those who need it for their job.
Data Transfers: Being based in Denmark (EU), the data we collect is generally stored within the EU. If we use any service providers outside the EU (for example, an email support service in the US), we ensure that proper safeguards are in place (such as the provider being certified under an EU adequacy framework or standard contractual clauses for data transfer). Our Privacy Policy lists our key sub-processors and their locations.
Retention: We keep personal data only as long as necessary for the purposes it was collected. For instance, we keep purchase records indefinitely for licence validation and proof of purchase (unless you request deletion, in which case we may anonymise the record but keep non-personal elements for accounting). We periodically review the data we hold and erase or anonymise data that is no longer needed.
If our Plugins integrate with third-party services (like a cloud AI provider, analytics service, or payment gateway), any data transmitted to those services will be subject to their privacy practices as well. We will inform you within the plugin or documentation when such third-party communication occurs. For example, see Section 11 regarding AI features which may send data to third-party AI platforms. We endeavour to choose reputable partners and provide options for you to control such data flows (like turning off a feature if you don’t want any external communication).
We may send you emails about product updates, new releases, or promotions if you have an account with us or have purchased a product. We will do so under applicable spam laws – for instance, if required, we will only send such communications with your consent or while providing a clear opt-out option. You can unsubscribe from marketing emails at any time by clicking the “unsubscribe” link in the email or contacting us. Note that transactional emails (like purchase receipts, licence info, or critical security updates) will be sent as needed and are not considered marketing.
By using our Services, you agree that we can collect and use your information in accordance with our Privacy Policy and this section of the Terms. We are committed to handling your data responsibly and in compliance with GDPR and other privacy laws. If you have any privacy-related questions or requests, please refer to the Privacy Policy or reach out to our Data Protection contact (usually available via our website or support email).
Some EasyToolsWP plugins may incorporate features powered by Artificial Intelligence (“AI”) or machine learning algorithms (“AI Features”). These AI-based tools might include, for example, content generation (text or images), automated recommendations, code suggestions, data analysis, or other functionality that utilizes AI. This section explains how these AI Features work, the terms specific to their use, and your responsibilities when using them:
EasyToolsWP may partner with third-party AI service providers to deliver AI functionality within our plugins. For instance, if a plugin offers a feature to “generate content” or “auto-design”, it might send your input (such as a prompt or piece of text) to an external AI engine (e.g., OpenAI, Microsoft Azure AI, Google Cloud AI, etc.) which processes the request and returns an output. By using an AI Feature in our plugin, you acknowledge and agree that:
Your input data (which may include text, images, or other content you provide to the AI tool) will be transmitted to the third-party AI provider for processing. The provider will receive and analyze this data to generate the result.
The third-party provider’s terms and privacy policy may apply to the processing of your data. We will endeavour to inform you (in documentation or within the plugin interface) which AI provider is being used and where you can find their terms. For example, if the plugin uses OpenAI’s API, OpenAI’s usage policies would govern what content can be processed and how the data may be used by OpenAI (some providers use data to improve their services unless you opt out).
EasyToolsWP does not own or control these third-party AI services, and we are not responsible for their availability, accuracy, or data practices beyond our contractual obligations with them. We act as a facilitator of the AI tool, but the generation is done by the external algorithm. We do not upload personal data to these services beyond what you input, and we typically configure them in a way to opt out of data retention where possible. However, you should avoid inputting sensitive personal data or any content that you wouldn’t want shared with an external service.
AI technology, especially generative AI, can produce surprising, creative, or sometimes incorrect results. You understand and agree that any content or output generated by an AI Feature is provided “as is” and for convenience, and that:
No Guarantee of Accuracy or Quality: AI outputs might be factually incorrect, nonsensical, inappropriate, or biased. For instance, an AI text generator might produce a grammatically correct answer that is nonetheless false or irrelevant. An AI image generator might create images that inadvertently resemble existing copyrighted images or contain distortions. EasyToolsWP does not guarantee the accuracy, completeness, or suitability of AI-generated content. You should independently verify any critical or important results.
Not Professional Advice: Unless explicitly stated, AI outputs should not be considered professional or expert advice. For example, an AI tool might produce a snippet of code or legal clause; you should not rely on it blindly for your specific situation. Always use human judgement and, if needed, consult a professional. EasyToolsWP is not liable for actions you take based on AI output.
May Contain Offensive or Erroneous Material: Despite filtering mechanisms, AI may sometimes produce content that is offensive, unpredictable, or outside your intended scope. If you encounter any such output, please discontinue use of that particular output and feel free to report it to us so we can adjust filters if possible. You are responsible for reviewing AI-generated content before using or publishing it. Do not assume it’s appropriate or correct without checking.
When using AI Features in our plugins, you have certain responsibilities to ensure proper and lawful use:
Input Content Responsibility: You must not submit any input to the AI that is illegal, harmful, or infringes on others’ rights. This includes personal data of others (especially sensitive data) without consent, copyrighted material unless you have rights, or prompts designed to generate disallowed content (e.g., hate speech, explicit sexual content involving minors, instructions for illicit activities, etc.). The third-party AI providers typically have usage policies (for example, disallowing attempts to generate extremely violent or harassing content). By using the AI Feature, you agree to comply with those policies. If you violate them, we may suspend your access to the AI Feature and it could also result in termination of your licence (and the AI provider might revoke our access).
AI Output Usage: Any content generated is at your disposal to use, but you are responsible for how you use it. If the AI generates text or images, ensure that using or publishing that content does not violate any laws (for example, defamation, privacy, or local regulations). Additionally, while AI outputs are often original, they could inadvertently resemble someone’s protected material. It’s good practice to run checks (like plagiarism checks for text or reverse image search for images) if you plan to use the content commercially or publicly, to avoid infringing anyone’s rights.
Attribution and Transparency: Some jurisdictions or platforms may require that AI-generated content be disclosed or labelled as such. We recommend being transparent when content was created with AI assistance, especially if it’s not obvious. This is more an ethical recommendation than a term, but in any case, do not mislead others to think AI-generated content was entirely human-created if such misrepresentation could be harmful or deceiving. For example, do not use AI to impersonate another person.
No Critical Use Without Verification: You agree not to rely on AI outputs for critical decisions or scenarios without human verification. For example, do not use an AI-generated diagnosis for a medical condition; always consult a professional. Do not use AI-generated code in a production environment without testing it thoroughly. You assume full responsibility for any consequences of using AI outputs.
Experimental Nature: AI Features in our plugins may be offered on an experimental or beta basis. We will try to indicate if a feature is beta. The performance and availability of these features may vary. We reserve the right to change, suspend, or discontinue any AI Features at any time, especially if required by a change in third-party provider terms or if the feature is causing issues. We will not be liable for any loss of functionality related to such changes. (For instance, if a third-party AI provider drastically changes pricing or policy, we might need to remove or modify the AI feature in a plugin update.)
Usage Limits: We (or the third-party provider) may impose limits on AI usage, such as a maximum number of requests per day or rate limiting. If such limits exist, we will communicate them. Trying to exceed or bypass these limits (e.g., by using multiple keys or accounts) is a violation of our Acceptable Use Policy. In cases of abuse or excessive use beyond what is intended, we might restrict your access to the AI features to ensure service stability and fairness to all users.
Costs: Currently, any cost of AI use through our plugin (for instance, API call fees) is either absorbed by us or included in the purchase price, unless otherwise specified. If in the future certain AI usages require additional payment (due to high cost of the API, for example), we will inform you upfront and require your agreement to any additional charges. We will never run up costs on your behalf without your knowledge.
In addition to our general warranty disclaimers (Section 12) and liability limitations (Section 13), you acknowledge:
No Warranties for AI Outcomes: We do not guarantee that AI-generated outputs will be correct, appropriate, or fit for any purpose. Use of AI is at your own risk.
No Liability for Content: EasyToolsWP will not be liable for any content generated by the AI or any consequences of using such content. This includes scenarios where AI output might be infringing, incorrect or harmful and you rely on it or publish it. You are the curator and controller of the outputs before they reach any audience or system, so the responsibility lies with you to vet and decide how to use them.
By enabling or using an AI Feature in our product, you are indicating that you understand these terms and accept them. If you do not agree or do not wish to assume these responsibilities, you should not use the AI Features in the plugin (and in many cases you can choose not to enable or not to install those portions of the plugin).
EasyToolsWP provides the Plugins, Services, and all related content “as is” and “as available”, to the fullest extent permissible under applicable law. This means that we do not make any promises or guarantees about the Services except those explicitly stated in these Terms. Please read this section carefully to understand the scope of what we do and do not warrant:
No Implied Warranties: To the maximum extent allowed by law, we expressly disclaim all warranties, representations, and conditions of any kind, whether express, implied, or statutory, including but not limited to any implied warranties or conditions of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement of third-party rights, and any warranties that may arise from course of dealing, course of performance, or usage of trade. In plain terms, we are not guaranteeing that the product will meet all your expectations or that it will work perfectly in every environment.
Service Availability: We do not warrant that the Services (including our website and any licensing servers or AI services) will be uninterrupted, timely, secure, or error-free. While we strive for high availability, there may be occasional downtime, technical issues, or need for maintenance. Similarly, we do not warrant that emails, support responses, or documentation will always be immediate or free of mistakes.
Functionality and Fitness: We make no warranty that our Plugins will function on every system or with every configuration or other plugin/theme combination. WordPress environments vary widely, and conflicts or issues can arise. We test our products and provide support for popular configurations, but we cannot guarantee compatibility with every possible setup or that there will never be bugs. It is your responsibility to ensure the plugin suits your needs (for example, test it during the initial phase of use on a staging site if possible).
Data and Content: We do not guarantee the accuracy or reliability of any information obtained through the Services. Any content or data output (including AI-generated content, analytics, or calculations from our plugin) is used at your own discretion. We are not responsible for any decisions you make based on information from our Services. For example, if our plugin displays analytics or suggestions, those are provided as-is and we don’t warrant their correctness.
Security: While we follow best practices for security, we do not warrant that the Services will be free from viruses, malware, or other harmful components. It’s important that you also use appropriate security measures (like running security plugins, keeping backups, etc.). We will promptly address any security vulnerabilities discovered in our code, but we can’t promise that no vulnerabilities will ever be present.
Third-Party Influences: We have no control over and make no warranties regarding third-party elements that may affect our Services. This includes your web hosting service, WordPress itself, other third-party plugins or themes, internet connectivity, or third-party AI providers integrated into our product. We do not warrant that issues caused by those external factors will be resolved by us. We will help within our domain, but for example, if a hosting environment setting conflicts with our plugin, you may need to work with your host to solve it.
Beta and Trial Features: If any feature of our plugin or service is labeled “beta”, “trial”, or “experimental”, it is provided without any warranties whatsoever. These features might be incomplete or change significantly. You use them entirely at your own risk.
Written or Oral Information: Any advice or information, whether oral or written, obtained from EasyToolsWP or our support team, does not create any warranty not expressly stated in these Terms. We will try to help and guide you, but our support guidance is not a warranty or guarantee of outcome.
Jurisdictional Caveat: Some jurisdictions do not allow the exclusion of certain warranties or conditions. If such laws apply to you, some of the above disclaimers may not fully apply, and you may have rights in addition to those stated here. In particular, if you are a consumer, you may have specific legal rights (statutory rights) that cannot be excluded. In such cases, we do not seek to exclude those rights. For example, under EU consumer law, digital content must be as described and if it’s not, consumers can seek a remedy (as outlined in Section 7.2). Nothing in this Section 12 should be interpreted as trying to disclaim liability for failure to meet such mandatory obligations. It only applies to the extent permitted by law.
In summary, while we are confident in our products and will do our best to ensure you have a good experience, we cannot foresee every scenario and thus provide these products without broad warranties. You accept the product in the condition it is provided and use it at your own risk, subject to the protections afforded to you by law and by our support commitments explicitly given.
To the extent permitted by law, EasyToolsWP’s liability to you is limited. This means that if you suffer damages or losses in connection with using our Services, our financial responsibility to you will be constrained by the terms below. Please read this section carefully:
Types of Damages Excluded: In no event shall EasyToolsWP (or its officers, directors, employees, agents, distributors, or affiliates) be liable to you for any:
Indirect, Special, or Consequential Damages: These include losses that do not flow directly from our actions but from the results of those actions. For example, loss of profit, loss of business opportunities, loss of goodwill or reputation, loss of data, or the cost of procuring substitute services. We will not cover damages that are consequential in nature.
Incidental or Punitive Damages: We will not be liable for incidental damages (minor costs related to an issue, like communication or mailing costs) or punitive damages (designed to punish rather than compensate).
Economic Loss: Even for direct issues, we exclude liability for pure economic loss (like loss of revenue or anticipated savings) resulting from your use of or inability to use our Plugins.
Use of AI Outputs: Specifically, for AI features, we are not liable for any harm or damage arising from content generated by the AI (as noted in Section 11). If AI provides an incorrect answer that leads to losses, we are not responsible.
These exclusions apply even if we have been advised of the possibility of such damages occurring.
Monetary Cap (Liability Limit): To the fullest extent permitted by law, the total aggregate liability of EasyToolsWP to you for all claims arising out of or relating to these Terms or the use of our products will not exceed the amount you paid EasyToolsWP for the specific product or service in question in the 12 months immediately preceding the event giving rise to the claim. For example, if you purchased a plugin licence for €50 and something arising from that plugin causes you damage, our maximum liability would be €50. If you have multiple products, each is considered separately in terms of liability tied to it. And if you have paid us nothing (for a free plugin or during a free usage), our liability for that usage is zero, aside from what cannot be limited by law.
Release for Free Products: If you use any of our free Services or free versions of products, you acknowledge that we are providing those without charge and, to the maximum extent permitted by law, we shall have no liability arising from or related to your use of free Services. We provide free offerings as-is, and while we will be fair and responsible, they come with no commitment of liability on our part.
User’s Own Actions: We are not responsible for any problems or losses caused by your own acts or omissions, or those of someone under your control. For example, if you failed to follow our guidelines, or if you made an error in configuration that caused damage, that is not something we take liability for. Similarly, if you continue to use a plugin that has known incompatibilities after we have advised an update or workaround, you assume the risk.
Multiple Claims: The above liability cap is aggregate – meaning if multiple issues or claims arise, they are collectively subject to the cap, not each claim separately.
Mitigation: If you suffer a loss, you are expected to take reasonable steps to mitigate (reduce) your loss. We may not be liable for any damages that could have been avoided by you taking reasonable preventive or corrective action (for instance, keeping backups of your site as recommended; if a plugin malfunction causes data issues and you had no backups despite that being a standard precaution, the extent of liability may be assessed considering that).
No Liability for Incompatible Third-Party Changes: The WordPress ecosystem is dynamic. If future changes in WordPress core, or third-party plugins/themes, or PHP versions, make our plugin incompatible or cause issues, we are not liable for resulting malfunctions. We do strive to keep up with updates and will issue our own updates to maintain compatibility, but during any interim or for drastic changes outside our control, we cannot accept liability for downtime or issues. Our commitment is to try to adapt, but not to indemnify every consequence.
Exceptions – When We Do Not Limit Liability: We do not exclude or limit liability for certain things to the extent the law does not allow it. This includes, for example, liability for death or personal injury caused by our negligence or the negligence of our employees (if it ever were applicable in the context of software use), liability for fraud or fraudulent misrepresentation, and any other liability which may not be lawfully excluded or limited. In some jurisdictions, consumer law might imply certain warranties or liabilities that cannot be excluded – if that is the case, our liability is limited to the minimum extent required by the applicable law.
Consumer Note: If you are using our Services as a consumer (not for business), you may have additional rights. Nothing in this section is intended to violate those rights; rather, it is meant to be interpreted to the extent permissible in your jurisdiction. For instance, under some consumer laws, if a product causes damage to your device or digital content, the company might be obligated to repair the damage or pay compensation. We do not exclude such liability to the extent it’s mandated by law.
By using our Services, you acknowledge that the limitations of liability outlined here are reasonable and reflected in the pricing of the products (for example, that a €50 plugin cannot carry an uncapped liability for unlimited consequential damages, which would be disproportionate). If you believe they are not reasonable, you should not agree to these Terms and should discontinue use of our products.
You agree to indemnify, defend, and hold harmless EasyToolsWP, its owners, officers, directors, employees, agents, affiliates, and partners (collectively, the “Indemnified Parties”) from and against any and all third-party claims, liabilities, damages, losses, or expenses (including reasonable legal fees and costs) that arise out of or relate to:
Your Breach: Any breach by you of these Terms. For example, if you violate the Licence restrictions by redistributing our plugin and a claim arises from that, you would be responsible for it.
Your Violation of Law or Rights: Your use of the Services in violation of any law or regulation, or your infringement of any intellectual property or privacy or other right of any person or entity. For instance, if you use our plugin to publish content that defames someone or infringes on someone’s copyright and that person sues EasyToolsWP as a result, you agree to cover our costs and damages.
Your Content: Any content or data you (or someone using your account or website) generate, upload, or transmit through our Services that leads to a claim against us. If, for example, you use an AI Feature to create content that a third party claims is unlawful or infringing, and they take action against EasyToolsWP, you would indemnify us.
Misuse of the Services: Any other misuse or wrongful act on your part with respect to our Plugins or Services. For example, if you introduce a virus via our plugin into others’ systems and a claim comes to us, you’d be responsible.
This indemnification obligation means you will pay any judgment, settlement, fine, or fee that an Indemnified Party is required to pay as a result of such claims, and any associated costs (including attorneys’ fees) incurred in defending against the claim. We will: (i) promptly notify you of any claim (although failure to promptly notify might not relieve your obligations except to the extent you are materially prejudiced by that failure), (ii) permit you to assume control of the defence and settlement of the claim (with legal counsel reasonably satisfactory to us), and (iii) provide reasonable cooperation at your expense. However, we reserve the right to participate in the defense with counsel of our own choosing at our own expense, and you may not settle any claim in a manner that admits fault of or imposes obligations on us without our prior written consent.
This section is intended to allocate responsibility between EasyToolsWP and users in the event that your use of the product causes harm or legal issues that involve us. We do not seek indemnity for situations that are solely our own fault, but where your actions contribute, we expect you to shoulder that responsibility.
These Terms are effective between you and EasyToolsWP from the moment you first accept them (for example, by clicking “I agree” on a purchase, or by downloading or using a Plugin which references these Terms) and will continue in effect until terminated by either party as permitted below. Each specific licence you obtain (such as for a Premium Plugin or a Premium Feature) will have a term as described in Section 4, but this overall agreement governs your relationship with EasyToolsWP as long as you use our Services.
You may terminate this agreement at any time by: (a) ceasing all use of our Plugins and Services, and (b) if you have an account with us, requesting closure or deletion of your account. Uninstalling or removing our Plugins from your sites will generally stop your use. However, note that terminating the agreement does not automatically entitle you to any refund (see Refund Policy in Section 6) – it just means you will stop using the product. If you terminate your use of a Premium Plugin before the end of the paid term, you will not typically receive a refund for the remaining unused time, except as provided in our Refund Policy or required by law.
We reserve the right to terminate this agreement or suspend your access to the Services (including specific licences) under the following circumstances:
Breach of Terms: If you materially or repeatedly breach any provision of these Terms, and (if remediable) fail to remedy the breach within a reasonable time after we have given you notice, we may terminate your licences and/or account. A material breach includes, for example, piracy or sharing of our software, attempts to circumvent license systems, or violation of the Acceptable Use Policy that could harm others or us. Some breaches (like distributing malware via our plugin) may prompt immediate termination without notice.
Violation of Law: If your use of the Services is subject to investigation or legal action, or if we determine in good faith that terminating is required to comply with a legal obligation or to protect the rights and safety of our company, users, or third parties, we may terminate immediately.
Inactivity or Discontinuation: If you have an account and it has been inactive for an extended period (say, a few years of no login and no active licences), we might close the account after attempting to reach you. If we discontinue a particular Service or Plugin entirely (for instance, we decide to retire a product line), we may terminate licences for that product at the end of their current term. If we end a service before your paid term is over, we will either (at our discretion) provide a pro-rata refund for the remaining term or offer a reasonably equivalent alternative product or solution.
Non-Payment / Chargeback: If a payment you owe is not paid when due, or if you initiate a chargeback that is later determined to be unfounded, we may suspend or terminate the affected licences. We typically will notify you first to resolve any payment issues, but if unable to resolve, termination may follow.
Upon termination of this agreement or a specific licence for any reason:
Cease Use: You must stop using the applicable Plugins and Services immediately. For a Premium Plugin, this means you should uninstall or disable the plugin from your website. For an Add-On Plugin’s Premium Feature, you should stop using that feature. You must also destroy any copies of our software you have, if we request it (except to the extent you are allowed to keep a copy under an open-source licence, if applicable).
Automatic Deactivation: In many cases, termination will coincide with technical deactivation. For instance, if your one-year licence ends or is terminated early, the plugin’s core functionality will automatically deactivate (as described earlier). If we terminate for breach, we may remotely disable your licence key, rendering the plugin’s premium features inoperative. You agree not to circumvent such measures.
Outstanding Obligations: Termination does not relieve either party of obligations that by their nature should survive termination. This includes your obligation to pay any amounts owed up to the date of termination, and the sections of these Terms that survive (see below).
No Liability for Termination: Except as stated, neither party will be liable to the other for any damages resulting solely from terminating the agreement in accordance with its terms. If we terminate due to your breach, we are not obligated to refund any fees you’ve paid. If we terminate without cause (not due to your breach) and it ends your licence early, we will refund any prepaid fees proportional to the remaining term (or provide an alternative remedy as mentioned), which will be your sole remedy for such termination.
Any provision of these Terms that by its nature is intended to survive termination shall survive. This includes (but is not limited to) sections on Intellectual Property (9), Disclaimers (12), Limitation of Liability (13), Indemnification (14), Governing Law and Dispute Resolution (16), and Miscellaneous (17). Your liability for any unpaid fees, and our mutual agreements on any usage of content or data, also survive.
Terminating this agreement means you will no longer have the right to use the EasyToolsWP products under these Terms. However, termination does not retroactively invalidate lawful uses you made under a valid licence period, nor does it refund past transactions (except as provided). We encourage you to manage termination politely: for example, if you no longer wish to use a plugin, you can simply let the licence expire and uninstall it.
These Terms of Use and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of Denmark. We choose Danish law as the governing law because EasyToolsWP is based in Denmark. This choice of law will apply regardless of your country of residence, but subject to the qualifications below for consumer protections.
If you are a consumer residing outside Denmark, please be aware that this governing law clause does not deprive you of any protection you are entitled to under the mandatory laws of your country of residence. In other words, if your local consumer law has provisions that are more beneficial to you and are required to apply regardless of a contract’s choice of law, then those provisions remain applicable in addition to Danish law.
You and EasyToolsWP agree that any dispute or claim arising out of or relating to these Terms or the use of the Services that cannot be resolved amicably shall be brought exclusively in the courts of Denmark. Specifically, unless otherwise required by law, the courts located in Denmark shall have exclusive jurisdiction to settle any litigation.
However, if you are a consumer, you may have the right to bring proceedings in your local courts as well. The EU regulations (and similar international principles) often allow consumers to sue in their home country’s courts if the counterparty is doing business there. We do not seek to limit such rights. Therefore:
If you are a consumer resident in the EU/EEA, you may choose to file a claim in the courts of your country of residence, and those courts can have jurisdiction, notwithstanding the above clause, due to consumer protection rules. Similarly, if you are in the UK or another jurisdiction with consumer court protections, this clause is not intended to override those.
For business users or non-consumers, the exclusive jurisdiction of Danish courts as stated will generally apply without exception.
By “courts of Denmark”, we refer typically to the City Court of Copenhagen or the appropriate court determined by Danish law procedures, unless the parties agree to a specific venue. In any event, both parties consent to personal jurisdiction in Denmark for purposes of litigating such disputes.
Before resorting to formal legal proceedings, we sincerely encourage you to contact us to discuss any issue or complaint, as we believe most problems can be solved through communication. You can reach out via our support email or contact details provided. We will attempt to resolve disputes in good faith and in a timely manner.
For consumers in the EU: As of the date of these Terms, the EU’s Online Dispute Resolution (ODR) platform operated by the European Commission has been discontinued (effective 20 July 2025). Therefore, no ODR platform is available for online resolution of consumer disputes. However, you still have the option to seek resolution through local alternative dispute resolution (ADR) entities in your country (like consumer ombudsmen or mediation services), if applicable. EasyToolsWP is not obligated to use a specific ADR entity unless required by law, but we remain open to amicable and mediated solutions.
Notwithstanding the above, we reserve the right to seek injunctive or equitable relief in any jurisdiction if necessary to protect our intellectual property rights or confidential information. This is a common clause indicating that if you violate our IP (e.g., by distributing our software illegally), we could go to a court in your jurisdiction to immediately stop that, in addition to any proceedings in Denmark.
In summary, Danish law will primarily apply to these Terms, and disputes should be brought in Denmark (with the noted exceptions for consumers). We hope to never have a dispute escalate to a court, and we value each user relationship, so we will do our best to resolve things earlier. But it’s important to have clarity on how and where legal matters would be handled should they arise.
This final section includes various important legal terms that don’t fit elsewhere, but which help clarify the relationship between you and EasyToolsWP and how these Terms operate.
These Terms of Use, along with any additional policies or terms referenced herein (such as our Privacy Policy, and any specific guidelines or licence terms presented at the time of purchase), constitute the entire agreement between you and EasyToolsWP with respect to the subject matter hereof. They supersede and replace any prior or contemporaneous understandings, agreements, or communications, whether written or oral, relating to the same subject matter. In other words, what’s written here is what governs our relationship; any promises or statements made by our team that are not written in these Terms (or explicitly agreed in writing otherwise) are not legally binding.
We may update or modify these Terms from time to time. If we make material changes, we will notify users by posting the updated Terms on our website and/or through other communication (such as email, if appropriate). The “Last Updated” date at the top will indicate when changes were made. It is your responsibility to review any updated Terms. By continuing to use the Services after the new Terms become effective, you agree to be bound by the revised Terms. If you do not agree to the changes, you must stop using the Services and, if applicable, may terminate your licence as described in Section 15. For significant changes, we aim to give advance notice when feasible. No modification of these Terms by you will be binding on EasyToolsWP unless made in writing and signed by an authorised representative of EasyToolsWP.
If EasyToolsWP fails to exercise or enforce any right or provision of these Terms, it shall not constitute a waiver of such right or provision. Any waiver of any provision by us on any occasion must be in a written form to be effective, and it will not be deemed a waiver of any other provision or of the same provision on any other occasion. For example, if you violate these Terms and we don’t take immediate action, that doesn’t mean we’re waiving our rights to enforce the Terms or that you can do the same violation again without consequence.
If any provision (or part of a provision) of these Terms is found by a court or other authority of competent jurisdiction to be invalid, illegal, or unenforceable, that provision or part-provision shall, to the extent required, be deemed deleted or modified to make it enforceable, and the validity and enforceability of the other provisions of these Terms shall not be affected. In simple terms, the rest of the agreement remains in force even if one part is struck down. The parties shall negotiate in good faith to agree on a valid and enforceable provision that is as close as possible to the original intent of the invalid provision.
You may not assign, transfer, or delegate any rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms to an affiliate or in connection with a merger, acquisition, sale of assets, or by operation of law, or any other similar transaction. These Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns. For instance, if EasyToolsWP is acquired by another company, your agreement with us will continue with the new company assuming our role.
These Terms are intended for the benefit of you and EasyToolsWP, and not for any third party. Except as expressly provided in these Terms, no person or entity who is not a party to these Terms shall have any right to enforce any term of these Terms. (In legal parlance, this is to ensure that the UK Contracts (Rights of Third Parties) Act 1999 or similar legislation elsewhere does not give rights to anyone who isn’t you or us in this contract.)
EasyToolsWP shall not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under these Terms that is caused by events outside our reasonable control (“Force Majeure” events). Such events may include, but are not limited to, natural disasters (e.g., floods, earthquakes), acts of government or regulations (e.g., changes in law, quarantine, import/export bans), war, terrorism, civil unrest, labour strikes or lockouts, widespread internet or telecommunications failures, server outages not caused by us, or epidemics/pandemics. During such events, our obligations are suspended for the period of the Force Majeure. We will make reasonable efforts to mitigate the impact and resume full performance as soon as possible. If a Force Majeure event continues for an extended period (e.g., more than 30 days), either party may have the right to terminate the affected Services upon written notice.
Nothing in these Terms creates any agency, partnership, or joint venture relationship between you and EasyToolsWP. We are independent contracting parties. You do not have any authority to assume or create any obligation for or on behalf of EasyToolsWP, nor to bind us in any manner. Similarly, we are not considered your agent or representative.
Section headings in these Terms are for convenience of reference only and do not affect the interpretation of the provisions. Words in the singular include the plural and vice versa. The words “include” or “including” shall be construed without limitation to the generality of preceding words.
These Terms are written in English (British English spelling). If we provide a translation of these Terms, it is for convenience only. In the event of any conflict between the English text and any translation, the English (original) version will prevail.
